Official Rules: “Seth MacFarlane Comment to Win” Sweepstakes

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. SWEEPSTAKES PERIOD. The “Seth MacFarlane Comment to Win” Sweepstakes (the “Sweepstakes”) begins on Monday, April 25, 2016, at 4:00 p.m. Pacific Time (“PT”) and ends on Wednesday, April 27, 2016, at 4:00 p.m. PT (the “Sweepstakes Period”). The Sponsor’s database computer is the official time-keeping device for this Sweepstakes.

2. ELIGIBILITY. This Sweepstakes is open to legal U.S. residents of the fifty United States and the District of Columbia. Entrants must be twenty-one (21) years of age or older and must be located in the United States at the time of entry. Any person who is on the Nevada State Gaming Control Board’s List of Excluded Persons per NRS 463.151 through 463.155 or is self-excluded from receiving marketing materials from Wynn Las Vegas, LLC (“Wynn” or “Sponsor”) pursuant to Nevada Gaming Regulation 5.170 is not eligible to participate in the Sweepstakes. Sweepstakes is not open to employees, officers, and directors of Sponsor, or any of its parents, affiliates, subsidiaries, licensees, distributors, dealers, sales representatives, retailers, individuals engaged in the development, production or distribution of materials, their advertising and promotion agencies, and any and all other companies involved in the Sweepstakes (collectively, the “Sweepstakes Entities”), and each of their immediate family members (as defined by the IRS) and/or people living in the same household are not eligible to participate. All eligibility is subject to all federal, state, and local laws and regulations. The Sweepstakes is void where prohibited by law or regulation.

3. HOW TO ENTER. A. Participation in the Sweepstakes requires entrant to have a registered Facebook account. To be eligible to enter the Sweepstakes, the entrant must “follow” and “like” (through automatic prompt) the “Wynn Las Vegas” fan page on Facebook and post their Entry (as defined below). To enter, the entrant must visit the Wynn Las Vegas Facebook timeline at www.Facebook.com/WynnLasVegas (the “Website”) and comment and tag as to who they would bring as their date if chosen on the post beginning with “Comment to Win” (the “Entry”) during the Sweepstakes Period. The Entry will require entrants to confirm they are 21 years of age, provide their first name, last name and email address and agree to Sponsor’s terms of service in order to claim the prize if chosen as the Sweepstakes winner. B. Entrants need not purchase any of Sponsor’s products or services to be eligible to enter the Sweepstakes. Entry in the Sweepstakes does not constitute entry into any other promotion, giveaway, contest or sweepstakes promoted by Sponsor. C. Entries must comply in full with the following “Content Guidelines and Restrictions.” All Entries must be original works of authorship. All Entries must not: 1. Violate, misappropriate or infringe any intellectual property right, including, but not limited to, copyright, trademark, patent, trade secret, right of privacy, right of publicity, or any other right of any person or entity; 2. Disparage Sponsor or any other person or party affiliated with Sponsor or the Sweepstakes; 3. Contain any profanity or lewd comments; 4. Contain material that is indecent, obscene, hateful, tortious, defamatory, slanderous, libelous, or unlawful; or 5. Contain material that is unlawful, in violation of or contrary to the laws or regulations in any country (or subpart thereof). D. An entrant may enter the Sweepstakes multiple times. However, entries generated by script, macro or other automated means are void. Entries made on another’s behalf by any other individuals or any other entity, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for the Sweepstakes. Tampering with the entry process or the operation of the Sweepstakes is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. E. Entrant must have permission from all individuals identified in the Entry (if any) to use their name in the Entry and to grant the rights set forth herein. If requested, entrants must be able to provide such permissions in a form acceptable to Sponsor. F. Entries will not be acknowledged or returned. Incomplete, illegible or mutilated entries will be automatically disqualified. Sponsor assumes no responsibility for lost, late, misdirected, damaged, altered, incomplete, or illegible entries. Sponsor shall have the right, but not the obligation, to use the Entry, in whole or in part, in connection with its business activities. G. By entering the Sweepstakes, all entrants hereby grant to the Sponsor and the Sweepstakes Entities (as applicable) an irrevocable, royalty-free, sublicensable license to use, copy, reproduce, distribute, display, edit, adapt, modify and/or reformat any Entry submitted by entrant, in whole or in part, in any medium now known or hereinafter devised, throughout the world and on the Internet, for any commercial or non-commercial purpose determined by the Sponsor in its sole and absolute discretion. H. Sponsor shall have the right, but not the obligation, to identify entrant as the author of an Entry. Entrant hereby grants to the Sponsor and the Sweepstakes Entities (as applicable) the fully-assignable, absolute and irrevocable right and permission to use entrant’s name (or portion thereof) and location (city and state) in connection with the Entry. This permission is for use anywhere in the world in any manner or medium now known or hereinafter devised and shall continue in perpetuity. Entrant hereby releases the Sponsor and the Sweepstakes Entities (as applicable) from any claim or cause of action, whether known or unknown, for libel, slander, defamation, invasion of right of privacy, publicity or personality, or any other claim or cause of action, based upon or relating to the use of entrant’s name and/or location. I. All entries are subject to verification by Sponsor. Entries that do not meet the Sweepstakes specifications, or that otherwise do not comply with the Official Rules herein may be automatically disqualified. Any attempted form of entry other than as described herein is void. Sponsor will determine in its sole discretion, what constitutes a valid entry. All materials submitted become the property of Sponsor and will not be returned or acknowledged. J. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud or technical failures destroy the integrity of the Sweepstakes as determined by Sponsor, in its sole discretion, and to award the Grand Prize based on eligible entries received prior to the cancellation.

4. AGREEMENT TO THE OFFICIAL RULES/PRIVACY POLICY. A. By participating in the Sweepstakes, all entrants fully and unconditionally agree to and accept these Official Rules and Sponsor’s decisions which are final and binding in all matters related to the Sweepstakes. Winning the Grand Prize (as defined below) is contingent upon fulfilling all requirements set forth herein. B. The information you provide for this Sweepstakes is subject to Sponsor’s privacy policy set forth at: http://www.wynnlasvegas.com/about-us/privacy. C. By entering this Sweepstakes, you agree to release Facebook, Inc. (“Facebook”) and Seth MacFarlane from any and all liability related to the Sweepstakes. By entering, you understand and acknowledge that the Sweepstakes is not sponsored, endorsed, or administered by, or associated with, Facebook or Seth MacFarlane. Any questions, comments, or complaints regarding the Sweepstakes must be directed to the Sponsor, and not to Facebook.

5. GRAND PRIZE/ODDS. A. The winner of the Sweepstakes will receive two (2) orchestra section show tickets to one (1) of Seth MacFarlane’s performances (the “Grand Prize”, the Approximate Retail Value (“ARV”) of the Grand Prize is $250.00) at Wynn Las Vegas located at 3131 Las Vegas Boulevard South, Las Vegas, Nevada 89109. Appropriate dress attire required. The Grand Prize must be redeemed (i.e., used) by the winner at the Wynn Las Vegas Box Office for Seth MacFarlane’s performance on either April 29, 2016, at 7:30 pm or April 30, 2016 at 7:30 pm. Winner and his/her guest must each be twenty-one (21) years of age or older in order to redeem and participate in the Grand Prize and activities related thereto. Reservations must be booked not less than one (1) day prior to arrival date. Once booked, reservations cannot be rescheduled. Any cancellation will result in forfeiture of the Grand Prize. All Grand Prize components must be redeemed during the Grand Prize redemption; any unused Grand Prize components will be forfeited. Winner must present a valid government issued Nevada ID at the Wynn Las Vegas Box Office to pick-up tickets to Seth MacFarlane. Any unused tickets will be forfeited and are not redeemable at a later date. Lost, stolen or destroyed tickets will not be replaced. Guests should arrive at Encore Theater at least thirty (30) minutes prior to show performance. Seth MacFarlane performs Friday, April 29, 2016, at 7:30 pm and Saturday, April 30, 2016, at 7:30pm. Additional blackout dates may apply. B. Grand Prize is subject to all applicable federal, state and local laws and regulations. All applicable taxes on the Grand Prize are solely the responsibility of the winner and the winner will be required to complete and execute an IRS Form 1099 in order to receive the Grand Prize. Winner must have proper identification documents as may be required at time of check in, redemption, and entrance into the applicable Seth MacFarlane performance. Grand Prize will be awarded only if the winner fully complies with these Official Rules. The potential winner will be required to execute an Affidavit of Eligibility and Liability/Publicity Release (the “Prize Claim Document”). Failure to sign and return the Prize Claim Document when requested will result in disqualification and selection of an alternate winner. C. Sponsor at its sole discretion will determine all details and other restrictions of the Grand Prize. No cash alternative or substitution will be allowed, except Sponsor reserves the right in its sole discretion to substitute the Grand Prize for a prize of comparable value if any of the components of the Grand Prize become unavailable, in whole or in part, for any reason. Winner is responsible for travel to and from Las Vegas, Nevada and is responsible for all transportation during his/her visit. All gratuities, taxes, incidental expenses, registrations, fees or charges, and other expenses, including but not limited to, gambling expenses, food, beverage, and merchandise not specified herein are the sole responsibility of each winner and his/her guest. One Grand Prize winner will be randomly selected from all eligible entries received. Grand Prize is non-assignable, non-transferable, non-negotiable, and is not redeemable for cash. D. The restrictions and conditions stated herein are not all-inclusive and the Grand Prize described above may be subject to additional restrictions and conditions, which may be stated in the Prize Claim Document. In the event any winner or his/her guest engages in behavior that (as determined by Sponsor in its sole discretion) is disparaging, obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the awarded Grand Prize, in whole or in part, with no further compensation. Winner is not permitted to transfer or sell any component of the Grand Prize on eBay, Craigslist, Stubhub or any other online site or offline location E. Odds of winning the Sweepstakes will depend upon the number of eligible entries received.

6. NOTICE TO ONLINE ENTRIES. Sponsor is not responsible for problems of any Sweepstakes-related information to or from the website or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any electronic mail entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the web site, or any other technical problems related to web site entries including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit an entrant’s ability to participate in the Sweepstakes.

7. TIMING OF WINNER SELECTIONS AND NOTIFICATION TO WINNERS. The Grand Prize winner will be randomly selected by Sponsor from all eligible entries received during Sweepstakes Period. The random drawing will be conducted on or about Wednesday, April 27, 2016, at 5:00 pm. The potential winner will be notified via Facebook by Wednesday, April 27, 2016, by 11:59 pm. Winner will have until Thursday, April 28, 2016, at 5:00 p.m. PT to notify Sponsor that winner accepts the Grand Prize and select performance date. The winner will be notified via email of winner’s win and will be prompted to respond to confirm full name, Facebook account name, birthdate and phone number. To claim and receive the Grand Prize, the winner must reply to such email notification by the deadline of Thursday, April 28, 2016, at 5:00 p.m. PT. After the winner accepts the Grand Prize by replying to the email notification that winner has won, the winner will be provided additional instructions via email on when and where to redeem the Grand Prize. For this Sweepstakes there will be no second-chance winner. If the potential winner does not confirm receipt of notification by Thursday, April 28, 2016, at 5:00 p.m. PT or does not comply with these Official Rules, then the potential winner will be disqualified and will forfeit the Grand Prize. If the potential winner is disqualified for any reason, then the Sponsor will select an alternate winner via random selection from all eligible entries received during Sweepstakes Period.

8. GENERAL PROVISIONS. Acceptance of any portion of the Grand Prize constitutes winner's permission for Sponsor to use winner's name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation except where prohibited by law. By entering the Sweepstakes, all entrants agree to release, discharge and hold harmless Sweepstakes Entities and their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, members, managers, directors, and representatives from any claims, losses, and damages arising out of their participation in the Sweepstakes or any Sweepstakes-related activities and the acceptance and use, misuse, or possession of the Grand Prize awarded hereunder. Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to Sweepstakes Entries or entry forms; or alteration of Entries or entry forms. Sponsor is not responsible for any problems with, technical malfunction or any communication failure of any information systems, telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email to be received on account of technical problems or traffic congestion on the Internet or at any website, human errors of any kind, or any combination thereof, including any injury or damage to entrants’ or any other persons’ computers related to or resulting from participation, uploading or downloading of any materials related to in the Sweepstakes.

9. DISQUALIFICATION/FORCE MAJEURE. Sponsor is not responsible for lost, late, mutilated, misdirected, illegible, incomplete, inaccurate, or stolen Entries or email notifications. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, cancel, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. In the event that no eligible entries are received and/or Sponsor is prevented from awarding the Grand Prize or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS, EBOLA, etc.), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each an event or occurrence of “Force Majeure”), then Sponsor shall have the right to cancel or modify the Sweepstakes. If the Sweepstakes is cancelled before the end of the Sweepstakes Period, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of the Grand Prize described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

10. GOVERNING LAW/JURISDICTION. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEVADA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

11. VENUE. By participating in the Sweepstakes, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against the Sweepstakes Entities relating to, arising out of or connected in any way with (i) the Sweepstakes, (ii) the awarding or redemption of the Grand Prize, and/or (iii) the determination of the scope or applicability of these Official Rules, will be resolved individually and exclusively in the courts of Clark County, Nevada.

12. WINNERS LIST/OFFICIAL RULES. To obtain a copy of any legally-required winners list, send a self-addressed stamped envelope to: “Seth MacFarlane Comment to Win” Sweepstakes, 3131 Las Vegas Boulevard South, Las Vegas, Nevada 89109. All such requests must be received by December 31, 2016. Allow 2 weeks for delivery of winner name.
